Depending on the service, Elimusphere Systems may:
- Review Teacher applications;

- Support assignment submission;
- Display learning progress;
- Host or distribute Learning Materials;
- Moderate Platform activity; and

Teacher review or approval is intended to support Platform quality and safety. It is not a guarantee of a particular teaching result, personality match, examination result, professional outcome, or uninterrupted availability.
Unless Elimusphere Systems expressly identifies itself as the direct provider of a particular course or service, Teachers control how they deliver their educational services, subject to these Terms, the Teacher Agreement, Platform standards, and applicable law.
8. Teacher Applications and Approval
A person wishing to teach through Elimusphere Systems must complete the application process and provide the information requested by Elimusphere Systems.
This may include:
- Identity information;
- Academic or professional qualifications;
- Teaching experience;
- References;
- Subject expertise;
- Payment information; and
- Other information reasonably required for review.
Submitting an application does not guarantee approval.
Elimusphere Systems may approve, reject, suspend, or require additional review of a Teacher application based on Platform requirements, safety considerations, incomplete information, inaccurate statements, or failure to satisfy applicable standards.
Teachers must not offer classes through the Platform until they have received approval.
Approval may be withdrawn if a Teacher:
- Provides false or misleading information;
- No longer satisfies Platform requirements;
- Violates these Terms or the Teacher Agreement;
- Creates a safeguarding or safety concern;
- Repeatedly fails to provide booked services; or
- Engages in unlawful or materially unprofessional conduct.
9. Classes and Bookings
Available Classes, Teachers, schedules, prices, formats, and requirements will be displayed on the Platform where applicable.
When booking a Class, the User is responsible for checking:
- The subject and level;
- The Teacher;
- The scheduled date and time;
- The time zone;
- The price;
- The class format;
- Any technical requirements; and
- Any stated prerequisites.
A booking is confirmed when the Platform displays or sends a booking confirmation.
Users must join Classes on time and use compatible devices, software, and internet connectivity.
Teachers must make reasonable efforts to begin and deliver Classes at the scheduled time. Learners must participate respectfully and avoid disrupting the learning environment.
Rescheduling, cancellation, missed-class, and refund rules are governed by the Refund Policy and any conditions clearly displayed before booking.
10. Assignments, Assessments, and Progress Tracking
The Platform may allow Teachers to create assignments or assessments and allow Learners to complete and submit them.
Learners must submit their own work unless collaboration, assistance, or the use of external tools has been expressly permitted.
Teachers may review submissions, provide feedback, assign marks, and record progress.
Progress dashboards, scores, badges, completion indicators, Teacher comments, and other performance information are provided for educational and informational purposes. Unless expressly stated otherwise, they do not constitute an officially recognized academic qualification, licence, certification, or guarantee of admission or employment.
Technical issues, incomplete data, delayed marking, or User error may affect displayed progress. Users should report suspected errors through the Platform’s support channel.
11. Learning Materials
Elimusphere Systems or approved Teachers may offer Learning Materials for purchase or access.
Before completing a purchase, Users should review:
- The description of the material;
- The price;
- Whether it is digital or physical;
- Access limitations;
- Device or software requirements;
- Delivery details, if relevant; and
- Applicable refund conditions.
Purchasing Learning Materials does not transfer ownership of the copyright or other intellectual property rights in those materials. The User receives only the access or usage rights expressly stated at the time of purchase or in these Terms.
Unless expressly permitted, Users must not reproduce, distribute, resell, publicly display, upload, share, modify, or commercially exploit Learning Materials.
12. Prices, Payments, and Charges
Prices will be displayed on the Platform before a User confirms a booking or purchase.
Prices may include or exclude applicable taxes, transaction charges, currency conversion costs, or third-party payment fees. Where additional charges apply, Elimusphere Systems will seek to disclose them before payment where reasonably possible.
Users authorize Elimusphere Systems and its payment providers to process payments for confirmed purchases.
Users must provide accurate payment information and must use payment methods they are authorized to use.
Payment processing may be carried out by third-party providers. Their separate terms and privacy practices may apply to the services they provide.
Elimusphere Systems may correct obvious pricing or technical errors. If a correction materially affects a confirmed purchase, Elimusphere Systems will notify the affected User and provide any remedy required by applicable law or the Refund Policy.
13. Teacher Payments and Platform Fees
Teacher earnings, platform commissions, payment schedules, deductions, refunds, taxes, and withdrawal requirements are governed by the Teacher Agreement and Payment and Commission Policy.
Teachers are responsible for providing accurate payout information and meeting any tax, invoicing, identification, or reporting obligations applicable to them.
Elimusphere Systems may temporarily withhold a disputed payment where reasonably necessary to investigate:
- A refund request;
- Suspected fraud;
- Unauthorized activity;
- A payment reversal;
- A complaint concerning an undelivered service; or
- A material violation of the Teacher Agreement.
Elimusphere Systems will not apply an internal founders’ profit-sharing arrangement to Teacher or Student payments unless that arrangement is expressly incorporated into a relevant User-facing pricing or payment policy.
14. Refunds and Cancellations
Refund eligibility is governed by the Elimusphere Systems Refund Policy and applicable law.
A refund request may be affected by factors including:
- Whether a Class was delivered;
- Whether the Teacher or Learner attended;
- When a cancellation was made;
- Whether purchased digital Content was accessed or downloaded;
- Whether a service was materially different from its description;
- Whether a duplicate or unauthorized payment occurred; and
- Whether Elimusphere Systems or the Teacher cancelled the service.
Nothing in these Terms or the Refund Policy excludes rights or remedies that cannot lawfully be excluded.
15. User Conduct
Users must act respectfully, honestly, and lawfully.
Users must not:
- Harass, threaten, bully, intimidate, or impersonate another person;
- Discriminate against or abuse another User;

- Interfere with Classes or Platform operations;
- Attempt to access Accounts, systems, or data without authorization;
- Introduce malicious code, viruses, or harmful software;
- Scrape, copy, or extract Platform data without written permission;
- Send spam, unauthorized advertisements, or deceptive messages;
- Use the Platform to facilitate unlawful transactions;
- Circumvent fees, access controls, suspensions, or security measures;
- Collect personal information about another User without a lawful basis;
- Record a live Class without all necessary permission;
- Publish private communications without authorization;
- Share payment or contact details in order to avoid properly disclosed Platform charges;
- Use the Platform in a way that threatens the safety or privacy of a child or another User; or
- Encourage another person to violate these Terms.
More detailed rules may be set out in the Acceptable Use Policy and Community Guidelines.
16. Safeguarding and Interactions with Minors
The safety of young Learners is important to Elimusphere Systems.
Teachers, Learners, Parents or Guardians, and other Users must comply with the Safeguarding and Child Protection Policy.
Teachers must:
- Keep communications professional and education-related;
- Use approved communication channels where required;
- Avoid unauthorized private contact with minors;
- Report safeguarding concerns through the designated channel;
- Avoid requesting unnecessary personal information from Learners; and
- Follow applicable requirements concerning recordings and parental or guardian involvement.
Where Elimusphere Systems identifies a credible safety concern, it may restrict communication, suspend access, preserve relevant records, contact a Parent or Guardian, or make a report to an appropriate authority where required or permitted by law.
17. Communications and Class Recordings
The Platform may provide messaging, notifications, video conferencing, email, or other communication functions.
Users must use these tools primarily for legitimate educational, administrative, payment, or support purposes.
A Class must not be recorded unless:
- The recording has been disclosed to affected participants;
- Required permissions have been obtained;
- The recording complies with applicable law; and
- The recording is handled in accordance with the Privacy Policy.
Where Elimusphere Systems records a session for safety, training, quality, or dispute-resolution purposes, it will provide appropriate notice and handle the recording in accordance with the Privacy Policy and applicable law.
18. Intellectual Property Rights
18.1 Elimusphere Systems property
The Platform, including its software, design, branding, databases, interfaces, and original Content, is owned by or licensed to Elimusphere Systems.
Subject to these Terms, Elimusphere Systems grants Users a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Platform for lawful educational purposes.
This licence does not authorize a User to:
- Copy or commercially exploit the Platform;
- Reverse-engineer its software, except where the law expressly permits it;
- Remove copyright or ownership notices;
- Use Elimusphere Systems’ trademarks without permission; or
- Create a competing service using unlawfully obtained Platform Content or data.
18.2 User Content
Users retain ownership of intellectual property rights they hold in their User Content.
By uploading User Content, the User grants Elimusphere Systems a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, transmit, and display that Content only as reasonably necessary to:
- Operate the Platform;
- Deliver the service requested by the User;
- Provide access to authorized recipients;
- Maintain security and backups; and
- Meet legal or regulatory obligations.
This licence ends when the Content is deleted from active Platform systems, except where continued storage is reasonably required for backups, transaction records, dispute resolution, fraud prevention, or legal compliance.
Users must have the necessary rights and permissions to upload their Content.
18.3 Teacher Content
Ownership and licensing of materials created or uploaded by Teachers may be further governed by the Teacher Agreement or a separate Content Creation and Licensing Agreement.
No transfer of a Teacher’s ownership rights should be implied unless it is stated clearly in a written agreement.
19. Copyright Complaints
A person who believes that Content on the Platform infringes their rights may submit a complaint containing:
- Their name and contact information;
- Identification of the protected work;
- Identification or location of the allegedly infringing Content;
- An explanation of the alleged infringement;
- Evidence of ownership or authority, where appropriate; and
- A statement that the complaint is made honestly.
Elimusphere Systems may remove or restrict access to disputed Content while reviewing a complaint. Where appropriate, Elimusphere Systems may notify the User who uploaded the Content and allow that User to respond.
False or abusive infringement reports may result in Account restrictions or other appropriate action.
20. Privacy and Personal Data
Elimusphere Systems processes personal information in accordance with its Privacy Policy and applicable law.
The Privacy Policy should explain:
- What information Elimusphere Systems collects;
- Why it is collected;
- How it is used;
- When it may be shared;
- How long it may be retained;
- How Users may exercise applicable privacy rights; and
- How Users may contact Elimusphere Systems about privacy matters.
Users must not upload another person’s personal information unless they have a lawful reason and any required permission to do so.
21. Third-Party Services
The Platform may integrate with or link to third-party services, such as:
- Payment processors;
- Video-conferencing providers;
- Messaging tools;
- Cloud-hosting services;
- Analytics providers; or
- External educational resources.
Third-party services may be governed by their own terms and privacy policies.
Elimusphere Systems is not responsible for an independent third party’s acts, omissions, availability, security, or content, except to the extent responsibility cannot lawfully be excluded.
A link to an external resource does not necessarily mean that Elimusphere Systems endorses it.
22. Service Availability and Changes
Elimusphere Systems aims to provide a reliable service but does not guarantee uninterrupted or error-free access.
Access may be affected by:
- Maintenance;
- Updates;
- Internet or telecommunications failures;
- Payment-provider interruptions;
- Cybersecurity incidents;
- Third-party service failures;
- Events outside reasonable control; or
- Actions necessary to protect Users or the Platform.
Elimusphere Systems may add, modify, suspend, or discontinue Platform features. Where a change materially affects a paid service already purchased, Elimusphere Systems will provide an appropriate notice or remedy where required by law.
23. Complaints and Disputes Between Users
Users should report complaints through info@elimusphere.co.ke
A complaint should include:
- The User’s name and Account details;
- The relevant booking, transaction, or Class;
- A description of what happened;
- Supporting materials; and
- The outcome requested.
Elimusphere Systems may review Platform records, communications, attendance information, payment records, submissions, and other relevant information.
Users agree to cooperate honestly with reasonable investigations.
Elimusphere Systems may facilitate communication between Users but is not required to decide every private dispute. Elimusphere Systems may nevertheless take Platform-level action, including issuing a refund, restricting an Account, or removing Content, where permitted by these Terms, relevant policies, or applicable law.
24. Suspension and Termination
A User may stop using the Platform and request Account closure in accordance with the Privacy Policy and Account procedures.
Elimusphere Systems may warn, restrict, suspend, or terminate an Account where it reasonably believes that the User:
- Materially or repeatedly violated these Terms;
- Created a safety or safeguarding risk;
- Engaged in fraud or unauthorized payment activity;
- Provided materially false information;
- Infringed another person’s rights;
- Used the Platform unlawfully;
- Failed to pay an amount properly due; or
- Threatened the security or proper functioning of the Platform.
Where appropriate, Elimusphere Systems may provide notice and an opportunity to respond. Immediate action may be taken where reasonably necessary to protect Users, preserve evidence, prevent loss, or comply with law.
Termination does not automatically cancel payment, refund, intellectual-property, confidentiality, or dispute obligations that arose before termination.
Sections that are intended by their nature to continue after termination will remain in effect.
25. Educational Outcomes
Teachers and Elimusphere Systems will seek to provide the services described, but learning outcomes depend on multiple factors, including attendance, participation, effort, prior knowledge, and individual circumstances.
Unless expressly stated in writing, Elimusphere Systems does not guarantee:
- Particular marks or examination results;
- Admission to a school or institution;
- Employment or professional advancement;
- Completion within a particular period;
- Recognition of a course by an external institution; or
- That a particular Teacher will remain continuously available.
This section does not limit a User’s rights where a paid service is not provided with legally required care, skill, quality, or conformity.
26. Disclaimers
To the extent permitted by law, the Platform is provided on an“as available” basis.
Elimusphere Systems does not warrant that every feature will always operate without interruption or that every item of User or Teacher Content will be accurate, complete, or suitable for every Learner.
Users remain responsible for evaluating whether a Class, Teacher, or Learning Material is appropriate for their needs.
Nothing in these Terms excludes any warranty, guarantee, duty, or consumer right that cannot lawfully be excluded.
27. Limitation of Liability
To the maximum extent permitted by applicable law, Elimusphere Systems will not be liable for indirect, incidental, special, or consequential losses that were not reasonably foreseeable when the User accepted these Terms.
Elimusphere Systems will not be responsible for loss caused solely by:
- A User’s breach of these Terms;
- Inaccurate information supplied by a User;
- Unauthorized Account activity caused by a User’s failure to protect login credentials;
- A User’s incompatible device or internet connection;
- Content or conduct controlled by an independent User; or
- Events outside Elimusphere Systems’ reasonable control.
These limitations do not exclude or restrict liability where doing so would be unlawful. In particular, nothing in these Terms limits liability for fraud, deliberate misconduct, or another category of liability that applicable law does not permit Elimusphere Systems to exclude.
28. Responsibility for Claims Caused by a User
To the extent permitted by law, a User will be responsible for losses, liabilities, or reasonable costs directly caused by that User’s unlawful conduct, infringement of another person’s rights, or material breach of these Terms.
This provision does not require a consumer to compensate Elimusphere Systems for losses caused by Elimusphere Systems’ own unlawful conduct, negligence, or breach of duty.
29. Changes to These Terms
Elimusphere Systems may update these Terms to reflect:
- Changes to Platform features;
- New services;
- Safety and security requirements;
- Legal or regulatory developments; or
- Changes to business operations.
The updated Terms will state the date on which they become effective.
Where a change materially affects Users’ rights or obligations, Elimusphere Systems will provide reasonable notice through the Platform, email, or another appropriate channel.
Changes will not be applied retroactively where doing so would unlawfully prejudice a User’s existing rights.
Continued use after the effective date constitutes acceptance where permitted by law. If a User does not accept the updated Terms, the User must stop using the Platform and may request Account closure.
30. Governing Law
These Terms are governed by the laws of Kenya, without unlawfully depriving a consumer of mandatory protections available in the place where the consumer resides.
31. Dispute Resolution
Before beginning formal legal proceedings, the User and Elimusphere Systems should first attempt to resolve the dispute through the complaints process.
A User may submit a written dispute notice to info@elimusphere.co.ke. The notice should describe the issue, relevant transaction, supporting facts, and requested resolution.
If the dispute is not resolved, either party may use the courts or another legally recognized dispute-resolution process available under applicable law.
Nothing in this section removes a consumer’s right to approach a regulator, consumer-protection body, data-protection authority, or court where that right cannot lawfully be restricted.
32. General Provisions
32.1 Entire agreement
These Terms and the policies or agreements incorporated into them constitute the agreement between Elimusphere Systems and the User regarding use of the Platform.
32.2 Severability
If a provision is found invalid or unenforceable, the remaining provisions will continue to apply. The affected provision will be interpreted or adjusted only to the extent necessary and legally permitted.
32.3 No waiver
A delay or failure by Elimusphere Systems to enforce a provision does not waive its right to enforce that provision later.
32.4 Assignment
Users may not transfer their Accounts or rights under these Terms without Elimusphere Systems’ written permission.
Elimusphere Systems may transfer its rights and obligations as part of a lawful merger, restructuring, financing, acquisition, or sale of business, subject to applicable notice and consumer-protection requirements.
32.5 Force majeure
Neither party will be responsible for delay or failure caused by circumstances outside its reasonable control, except for payment obligations already due and rights that cannot lawfully be excluded.
32.6 Language
If these Terms are translated, the version designated by Elimusphere Systems as controlling will apply to the extent permitted by law. Elimusphere Systems should clearly identify the controlling version and should not use this clause to mislead Users about their legal rights.
32.7 Headings
Section headings are provided for convenience and do not alter the meaning of these Terms.
